PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY BEFORE USING OUR SERVICE. THIS IS A BINDING LEGAL AGREEMENT.

1. Introduction and Agreement

Welcome to Celerity Precision. These Terms and Conditions (“Terms”) govern your access to and use of the website https://www.celerityprecision.com/ and the manufacturing services offered therein (collectively, the “Service”). The Service is owned and operated by Shenzhen Celerity Precision Co., Ltd. (“we,” “us,” “our,” or “Celerity Precision”).

By accessing or using the Service, including uploading files or placing an order, you (“you,” “Client”) agree to be bound by these Terms. If you disagree with any part of the terms, then you may not access the Service.

2. Quotes and Orders

  • Request for Quote (RFQ): To receive a quote for your project, you must submit complete and accurate 2D drawings and/or 3D CAD files and provide all necessary technical specifications.
  • Quote Validity: All quotes provided by Celerity Precision are valid for a period of thirty (30) days unless otherwise stated in writing. Quotes are based on the exact information and files provided at the time of the RFQ. Any changes to the design, material, quantity, or specifications will require a new quote.
  • Order Placement: An order is considered placed and binding only after you have issued a formal Purchase Order (PO) or provided written confirmation of a quote, AND Celerity Precision has accepted the order in writing. We reserve the right to decline any order for any reason.

3. Payment Terms

  • Standard Terms: For new clients, payment is typically required in advance of production. Payment terms for returning clients with an established relationship may be extended to Net 30 upon credit approval, at our sole discretion.
  • Currency: All transactions are to be conducted in United States Dollars (USD) unless otherwise agreed upon in writing.
  • Production Start: Production will not commence until the agreed-upon payment has been received and confirmed.

4. Intellectual Property Rights

  • Your Intellectual Property: You retain full ownership of the intellectual property rights to your designs, specifications, and all technical files you submit to us. By submitting your files, you grant Celerity Precision a limited, non-exclusive, royalty-free license solely for the purpose of reviewing, analyzing, and manufacturing your custom parts.
  • Your Warranty: You represent and warrant that you have the full legal right to use the designs and specifications you submit and that the manufacturing of your parts will not infringe upon the intellectual property rights of any third party.
  • Our Intellectual Property: All content present on this website, including text, graphics, logos, and software, is the property of Shenzhen Celerity Precision Co., Ltd. and is protected by international copyright laws.

5. Shipping and Delivery

  • Shipping Terms: Unless otherwise agreed upon in writing, all shipments are made FOB (Free On Board) Shenzhen, China. Title and risk of loss pass to you upon our delivery of the parts to the carrier.
  • Lead Times: All quoted lead times are good faith estimates and begin from the date of order confirmation and receipt of payment. We will make every reasonable effort to meet these estimates, but they are not guaranteed. We are not liable for delays caused by shipping carriers, customs clearance, or other factors outside of our direct control.
  • Customs, Duties, and Taxes: You are solely responsible for all customs fees, import duties, taxes, and other charges associated with the shipment of your parts to your location.

6. Inspection, Warranty, and Non-conformance

  • Inspection Period: You must inspect all delivered parts within ten (10) business days of receipt.
  • Limited Warranty: Celerity Precision warrants that the manufactured parts will conform to the specifications set forth in your approved drawings and order documents. We make no other warranties, express or implied, including any warranty of merchantability or fitness for a particular purpose. It is your sole responsibility to ensure that your design and material choice are suitable for your intended application.
  • Non-conformance: If you believe any part is non-conforming, you must notify us in writing within the 10-day inspection period, providing detailed evidence (e.g., photos, measurements). If we confirm the non-conformance, our sole obligation, at our discretion, will be to either: (a) re-manufacture the non-conforming parts at our expense, or (b) provide a credit or refund for the value of the non-conforming parts.

7. Limitation of Liability

IN NO EVENT SHALL SHENZHEN CELERITY PRECISION CO., LTD., NOR ITS DIRECTORS, EMPLOYEES, OR PARTNERS, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE SERVICE OR ANY PARTS PROCURED.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU FOR THE SPECIFIC ORDER GIVING RISE TO THE CLAIM.

8. Confidentiality

We are committed to protecting the confidentiality of your proprietary information and technical files. We will not disclose your confidential information to any third party except as required to perform the Service (e.g., to a trusted finishing partner, under a confidentiality agreement). For enhanced protection, we are willing to review and sign a reasonable Non-Disclosure Agreement (NDA) provided by you.

9. Governing Law and Dispute Resolution

These Terms shall be governed and construed in accordance with the laws of the People’s Republic of China, without regard to its conflict of law provisions. Any dispute arising from or in connection with these Terms shall first be settled through friendly negotiation. If a settlement cannot be reached, the dispute shall be submitted to the Shenzhen Court of International Arbitration (SCIA) for arbitration in Shenzhen in accordance with its rules in effect at the time of applying for arbitration.

10. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide notice of material changes by updating the “Last Updated” date. By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms.
